Genel işlem koşulları genellikle karşı tarafın global kabul beyanı ile
sözleşmede bağlayıcılık kazanmaktadır. Ancak genel işlem koşulları
içerisinde sözleşmenin niteliğine ve işin özelliğine yabancı olan hükümler
varsa açıkça ikaz edilmiş olmadıkça genel işlem koşullarını bu şekilde
kabul eden karşı tarafın iradesi, bu koşulları da kapsadığı şeklinde
yorumlanamaz. Bu hâlde sözleşmenin niteliğine ve işin özelliğine yabancı
olan genel işlem koşulları yazılmamış sayılır ve sözleşmenin bunun
dışındaki hükümleri ise geçerliliğini korur. Genel işlem koşullarını
kullanan taraf, bu durumda yazılmamış sayılan hükümler olmasaydı diğer
hükümlerle sözleşmeyi yapmayacak olduğunu ileri süremez.
General terms and conditions are generally became valid in a
contract with global acceptance of the other party. But if there are some
strange terms against the contract’s character and the features of the
business, unless expressly cautioned, other party’s volition, who globally
accepted general terms and conditions, cannot be interpreted as global acceptance also includes these strange terms. In this case, general terms
and conditions, which are against the contract’s character and the features
of the business, are respected as unwritten and other terms of the contract
stay valid. Party, using general terms and conditions, cannot claim that he
did not conclude the contract unless the terms respected as unwritten exist.
