Bir hukuki işlem kural olarak sadece o hukuki işlemi yapan
kimseler hakkında hüküm doğurur. Buna karşın, ekonomik hayatın büyük
bir gelişme göstermesi, uzmanlığın önem kazanması, milletlerarası
ilişkilerin artması, kişilerin bütün hukuki işlemleri bizzat yapmasını
imkânsız kılmıştır. Böylece temsil, günümüzde önemi gittikçe artan bir
hukuki müessese haline gelmiştir. Temsil müessesesi sayesinde, işlemler
bir temsilci vasıtasıyla yapılmakta ve böylece kişi dünyanın farklı
yerlerinde aynı anda hukuki işlemler tesis edebilmektedir. Temsil
müessesesi, medeni hakları kullanma ehliyetinden yoksunluk sebebiyle
hukuki işlemi bizzat yapmak imkânına sahip olmayan kimseler
bakımından da önem arz etmektedir.
Temsil müessesesi, hukuki işlemlerde özellikle sözleşmelerde
büyük önem taşımaktadır. Kanun koyucu temsil müessesesini, Türk
Borçlar Kanunu’nun 40-48 maddeleri arasında düzenlemiştir. Bu
hükümler temsil ile ilgili genel hükümlerdir. Kanun koyucu bu genel
hükümlerin dışında, temsil ile ilgili olarak özel hükümlerine de, Türk
Borçlar Kanunu’nun 547-554 maddeleri arasında yer vermiştir. Böylece
Türk Borçlar Kanunu’nun özel hükümlerinde düzenleme bulunamadığı takdirde genel hükümlere başvurulması amaçlanmıştır. Son olarak Türk
Borçlar Kanunu’nun temsil ile ilgili hükümleri Türk Medeni Kanunu
madde 5’2
deki yollama nedeniyle Medeni Kanun alanındaki tüm iradi
temsil halleri için uygulama bulabilir.
As a rule, a legal transaction yields a judgment only about
person/people carrying out such transaction. However, the great
development in economic life, rising importance of specialization, and
increase in international relations have made it impossible for people to
carry out all of their legal transactions by themselves. In this way,
representation has become a legal institution whose importance increases
day by day. Thanks to this institution, transactions are carried out through
representatives. In this way, people are able to carry out legal transactions
in different places of the world simultaneously. The institution of
representation is of importance also for people who do not have a
possibility to carry out legal transactions by themselves because of lack of
capability to exercise civil rights.
The institution of representation is of vital importance for legal
transactions, contracts being in the first place. The lawmaker in Turkey
has regulated the institution of representation in the 40th to 48th articles of
the Turkish Code of Obligations. These articles contain general provisions
regarding representation. The lawmaker has also inserted special
provisions concerning representation in the articles 547 to 554 of the
Turkish Code of Obligations besides such general provisions. At this
point, the aim is to make sure that general provisions are applied when the
special provisions of the Turkish Code of Obligations do not include
relevant regulations. Finally, the provisions of the Turkish Code of
Obligations regarding representation may be applied to all voluntary
representation conditions within the scope of the Civil Code because of
the reference in the Turkish Civil Code article 53.
