The purpose of this article is to examine “agreements on waiver of
pro rata collection of debts” prescribed by Article 376/3 of the Turkish
Commercial Code No. 6102, particularly in terms of their denomination
under that name, and their legal characteristics. The article argues that
denominating these agreements as “agreements on waiver of pro rata collection of debts” is more in line with the motivation behind the
relevant legislation, as well as the spirit underlying these agreements.
They are bilateral legal transactions, and although they have the features
of a contingent agreement, in terms of their general characteristics, they
can be qualified as "sui generis” contracts.
