Garameye iştirakten feragat sözleşmesinin hukuki niteliğ

Abstract

Bu makalede, 6102 sayılı Türk Ticaret Kanunu m. 376/3 ile hukukumuzda tanınan “garameye iştirakten feragat sözleşmesi”, adlandırma ve hukuki nitelik yönleriyle incelenecektir. Doktrinde “sırada sona gitme”, “sıradan çekilme anlaşması” olarak da ifade edilen bu sözleşmenin “garameye iştirakten feragat sözleşmesi” olarak adlandırılması hem sözleşmenin ruhuna, hem de Kanun koyucunun yaklaşımına uygun olacaktır. İki taraflı bir hukuki işlem olan garameye iştirakten feragat sözleşmesi, bazı yönleriyle geciktirici şarta bağlı sözleşme niteliği gösterse de genel içeriği itibariyle “sui generis” bir sözleşmedir.

The purpose of this article is to examine “agreements on waiver of pro rata collection of debts” prescribed by Article 376/3 of the Turkish Commercial Code No. 6102, particularly in terms of their denomination under that name, and their legal characteristics. The article argues that denominating these agreements as “agreements on waiver of pro rata collection of debts” is more in line with the motivation behind the relevant legislation, as well as the spirit underlying these agreements. They are bilateral legal transactions, and although they have the features of a contingent agreement, in terms of their general characteristics, they can be qualified as "sui generis” contracts.
