6102 sayılı TTK’nın kabulünden önce,Türk hukukunda kurumsal
yönetim ilkesi, sadece sermaye piyasası hukukuna tâbi olan anonim
şirketler, hatta bu şirketlerin bir kısmını oluşturan “pay senetleri menkul
kıymetler borsasına kote olmuş anonim şirketler” için gündeme
gelmişken, 6102 sayılı TTK, kurumsal yönetim anlayışını hem halka açık
hem de kapalı tip anonim şirketler bakımından kabul etmiştir.
Yeni TTK, bir taraftan kurumsal yönetimin ana ilkelerini
somutlaştıran sistem kurucu kurum ve hükümlere yer verirken, diğer
taraftan da, çeşitli konularda anılan ilkelere uygun düzenlemeler
yapmıştır. Bu kapsamda, yönetim kurulu, genel kurul, denetim, pay
sahiplerinin hakları, kamuyu aydınlatma ve şeffaflık alanlarında kurumsal
yönetim ile ilgili bir çok hüküm öngörülmüştür. Yine Yeni Kanun
anonim şirketlerde emredici hükümler ilkesini kabul ederek, kurumsal
yönetim felsefesini en gerçekçi bir şekilde somutlaştırmıştır
Before the adoption of the Commercial Code No. 6102, the concept
of corporate governance was only an issue of public limited companies
that were subject to the Capital Markets Act. It should be added that that
only those companies that had been registered with the Istanbul Stock
Exchange were subject to corporate governance principles. The Code now
requires that all public limited companies should follow corporate
governance principles.
The Code not only lays down institutional principles, but also
contains provisions with regard to rights and obligations of the members
of the executive board, auditing, rights of the shareholders, transparency
etc. The Code oblige to follows corporate governance principles.
