6102 sayılı Türk Ticaret Kanunu ile birlikte hukukumuzda daha
önce olmayan ve uluslararası alanda özgün nitelik taşıyan kurumsal
temsilci müessesesi kabul edilmiştir. Bir paysahipliği girişimi olarak
düzenlenen bu müessese ile özellikle sermayenin tabana yayıldığı anonim
ortaklıklarda güç boşluğunun azaltılması hedeflenmiştir. Ancak Sermaye
Piyasası Kanunu hem kurumsal temsilci hem de TK md. 428’de
düzenlenen diğer kurumsal temsil sistemlerinin halka açık ortaklıklara
uygulanmayacağını hüküm altına almıştır. Böylelikle kurumsal temsilci
için öngörülmüş olan fonksiyon önemli oranda ortadan kalkmıştır. Öte
taraftan yayımlayacağı ve pay sahibinin talimatı yerine geçen bildirge ile
bağlı olan kurumsal temsilci ile temsil ettiği pay sahipleri arasındaki
temsil ilişkisinin hukuki niteliği de tartışmalıdır. Bu ilişkinin kendine özgü
yapısı olan sözleşmeler çerçevesinde düşünülmesi gerektiği
değerlendirilmektedir.
Turkish Commercial Code, numbered 6102, has embodied the
corporate representative system, which is new in Turkey and also
authentic internationally. The target with that shareholding initiative –
based system was to decrease the power gap in joint-stock companies.
However the Capital Market Law settles that, the regulations regarding
corporate represenative as well as other corporate representative systems
embodies in Article 428 of Turkish Commercial Code shall not be applied
for open joint stock companies. In this way the projected function of
corporate representative is considerably destroyed. The corporate
representative has to bring out an anouncement which substitutes the
instructions of shareholders. The legal characteristic of representation
relation between the representative and represented shareholders is
controversial. It is thought that, this relation is a kind of sui generis
contract.
