Özet
Öz:6098 sayılı Türk Borçlar Kanunu’nun (TBK )448. maddesi uyarınca pazarlamacılık sözleşmesi, pazarlamacı nın sürekli olarak bir ticari işletme sahibi iş veren hesabına ve işletmesinin dışında her türlü işlemin yapılmasına aracılı k etmeyi veya yazıl ı bir anlaşma varsa, bu anlaşmada belirtilen işlemleri yapmayı, i şletme sahibi işverenin de buna karşılık ücret ödemeyi üstlendiği sözleşme olarak tanımlanmaktadır. Pazarlamacının, pazarlamacılık sözleşmesi kapsamında müşterileri ziyaret etme, verilen talimatlara uyma, bilgi ve hesap verme, özen gösterme ve müvekkili tacirin menfaatlerini gözetme, kendisi veya üçüncü kişiler hesabına işlem yapmama, rekabet etmeme, sır saklama gibi yükümlülükleri bulunmaktadır.451/1. maddesine göre, bağımlı tacir yardımcılarından birisi olarak değerlendirilen pazarlamacının kural olarak aracılık yaptığı sözleş melerin ifa edilmesini garanti etme yükümlülüğü bulunmamaktadır. Bununla birlikte 451. maddesinin ve 3. fıkraları bu hükme istisnalar getirmiştir. Pazarlamacının garanti yükümlülüğünün bulunmadığı kuralına getirilen istisnalardan birisi de pazarlamacının aracılıkta bulunduğu sigorta sözleşmelerine ilişkindir. Çalışmamızda pazarlamacının sigorta sözleşmelerinden doğan garanti yükümlülüğünün hukuki niteliği, kapsamı ve şartları incelenecektir.
Öz:According to article 448 of the Turkish Code of Obligations (TCO) number 6098 the contract of marketeris a contract between the marketer and the employer that marketer undertakes to intermediate all transactions or to do the stuff on behalf of the employer outside the company in case there is a written agreement and in return employer undertakes to pay a fee to the marketer.According to the contract of marketer, marketer is under the obligation to visit customers, to obey the instructions given by the employer, to inform the employer regarding the transactions, to be prudent and to protect the employer’s commercial interests while executing his services, not to make any transactions on his or third parties’ behalf, not to compete and not to act against confidentiality obligation. On the other hand marketer who is deemed as a dependent merchant assistantis not under the obligation to guarantee the execution of the agreements which are intermediated by him according to article 451/1 of the TCO.However the exceptions of this rule are regulated under the subclauses 2 and 3 of the article 451. One of the exceptions of this guarantee obligations is regarding the insurance agreements which are intermediated by the marketer.Thelegal nature, scope and the conditions of the guarantee obligation of the marketer under the insurance agreements are going to be examined by this article.
